Lucía Cordero Ledergerber is a partner at Falconi Puig Abogados. She has over 25 years of experience in public procurement, company and commercial law, labor law and intellectual property.
In public procurement, Lucia led the tender process for the Emergency Social Investment Fund (FISE) from 1993 to 1996. Using this experience as a springboard, she has achieved excellent results in supporting national and international clients in the preparation and submission of tenders, negotiation and signing of agreements, termination of contracts by mutual agreement or unilaterally; representation in cases of contractual fines, claims or predeterminations of civil liability established by the Comptroller General of the State, as well as challenging such cases in administrative or judicial proceedings; she has advised on the forming of public-private partnerships (PPPs), as well as the signing of investment contracts.
Her company and commercial law practice includes the incorporation of different types of entities, in accordance with her clients’ needs and expansion plans, including subsidiaries of overseas companies. She acts as a consultant to a wide range of companies, including family businesses, in relation to: mergers and acquisitions; shareholder agreements; agreements regarding the purchase and sale of shares or assets; due diligence; negotiations and disputes between partners or shareholders; as well as company reactivation and liquidation. She also has a focus on the implementation of good corporate governance within companies. She acts as a consultant during inspections or audits by the Superintendency of Companies, Securities and Insurance and in administrative or judicial proceedings related to this area.
In the area of commercial law, she has worked on: international business collaboration agreements and joint-ventures; contracts related to distribution, supply, agency, representation, purchase of goods and strategic alliances, among others; and the termination of such contracts unilaterally or by mutual agreement. As a result of her experience as a legal advisor to banking institutions, she also provides consultancy on credit structuring and related guarantees, leasing and factoring contracts, and commercial trusts, to name but a few.
In the labor law field, Lucia advises clients on drawing up recruitment manuals and strategies, tailoring the companies’ needs to the different types of contracts existing under Ecuadorian law; legal audits; agreements on severance (with or without due cause); calculating compensation for dismissals without due cause and retirement pensions. She also advises on labor aspects of mergers, acquisitions, purchase of businesses, company liquidation and employer subrogation, among others.
Lucia provides her intellectual property consultancy services to national and international clients alike, prioritizing the best and greatest protection of her clients’ intangible assets, working alongside the firm’s other partners.
